Singapore Regulatory Requirements
London Stock Exchange plc (LSE), Turquoise Global Holdings Limited (Turquoise® or TGHL) and Turquoise Global Holdings Europe B.V. (Turquoise Europe™ or TGHE) are Recognised Market Operators (RMOs) in the Republic of Singapore. RMO status enables firms located in Singapore to apply for LSE, TGHL and TGHE membership and access related trading services.
In line with conditions set out by the Monetary Authority of Singapore (MAS), all LSE, TGHL and TGHE member firms should only provide trading access to trading services to clients in Singapore that are classified as an accredited investor, an expert investor or a professional investor under Singaporean law. Member firms should advise clients in Singapore that LSE, TGHL and TGHE are Recognised Market Operators under section 9(2) of the Singapore Securities and Futures Act (Cap. 289) (“SFA”) in relation to the approved list of products. A full list of approved products for trading on LSE is available on the LSE website here; a full list of approved products for trading on TGHL and TGHE at the Turquoise Reference Data webpage here.
In order to assist any member firms with clients in Singapore, LSE, TGHL and TGHE have published a Singapore investor definitions document which outlines the requirements for classification as an accredited investor, expert investor or professional investor together with a consent form for clients classified as accredited investors. The Singapore Investor Definitions (PDF) and Member Firm Singapore Accredited Investor Consents (DOCX) are available in the Membership documents section of LSE website and the Turquoise Document Library.
Hong Kong Member Firms regulatory requirements
London Stock Exchange plc ('LSE plc') and Turquoise Global Holdings Limited (Turquoise® or TGHL) have not enquired as to whether the securities listed or admitted to trading on LSE plc and TGHL have been registered with or authorised by the Securities and Futures Commission or any regulatory authority in Hong Kong, and Hong Kong member firms should conduct their own independent due diligence in this regard. Moreover as per Part IV, section 103, of the Hong Kong Securities & Futures Ordinance (Cap.571), products that fall within the definition of “structured products” under the SFO are not intended for investors that are not 'professional investors' in Hong Kong, as defined in the SFO and subsidiary legislation thereunder. Therefore, in order to ensure compliance with the relevant Hong Kong law and regulatory requirements, Hong Kong member firms are required to perform their own due diligence on all the securities they intend to trade. Additional information on the cleared securities available for trading on the Millennium Exchange trading systems is provided in the excel file named “List of Cleared Securities for Hong Kong member firms”, available in the adjacent paragraph, which has to be consulted in conjunction with the information provided in the 'Disclaimer' also available below.
