Many founders and entrepreneurs choose AIM because:

You retain control

Private funding can often require founders to give up a significant degree of control. On AIM, you can raise capital from a broad investor base while retaining control of your strategy and direction.

You enhance your profile

Admission to AIM is a recognised mark of credibility. It demonstrates that your business meets established standards of governance and transparency. This can strengthen your reputation with investors, customers and potential partners, and support future opportunities including mergers and acquisitions.

You can plan for the long-term

Growth does not follow a fixed timeline. AIM allows you to access capital when it is right for your business, supporting long term planning rather than short term funding cycles.

New AIM rules mean more room to grow

For more than 30 years, AIM has been Europe’s most successful growth market. To ensure that AIM continues to support innovative and growing companies, their investors and the wider AIM community, for the next three decades and beyond, we've evolved our rules around what companies, founders and investors have told us they need.

Our factsheet explains the changes we've made to reinforce the market’s focus on growth for companies, founders and investors.

What your AIM journey might look like

Raising capital on AIM is a structured, well supported process. Here’s what your journey might look like.

  1. 1

An Initial Public Offering (IPO) on AIM lets you raise capital by issuing new shares or enabling existing shareholders to sell to new investors. It can help diversify your ownership base while providing a powerful tool to incentivise and align your management team and key employees. IPOs also enable you to enhance your company’s profile and support trading in your shares following admission.

To discuss whether an IPO is right for your business, contact our team at the London Stock Exchange.

  2. 2

To prepare for an IPO your business needs to be in good shape. The availability of your most up-to-date audited accounts influences the IPO transaction timetable.

You’ll need a defined business plan and growth strategy, robust financial reporting, accounting and disclosure and a clear capital structure or dividend policy. You should also have a transparent corporate structure and governance with secure internal controls and systems.

  3. 3

Selecting the right advisory team is one of the most important steps to joining AIM. Central to this is your nominated adviser, who will guide you through the IPO process and assess your suitability for the market.

Your wider advisory team will also include legal counsel, reporting accountants, brokers. Together, they will help you shape your equity story, prepare your admission documentation and establish a realistic timetable with clearly defined roles and responsibilities.

Choosing advisers with the right experience and a strong understanding of your business is critical. Our nominated advisers directory can help you find the right partner.

  4. 4

Your nominated adviser will help you navigate each stage of the application to AIM. Working closely with your wider internal and advisory team, they will support the preparation of your admission document and guide you through the regulatory requirements.

From shaping your equity story to coordinating documentation, this is a structured, well-managed process. As regulation on AIM is managed by a dedicated team within the London Stock Exchange, the application process can be relatively streamlined.

  5. 5

Your corporate broker will work with you to market your company to potential investors. They’ll help you prepare for investor presentations as part of a formal roadshow. A broker with experience of your industry can stimulate investor interest both at the point of IPO and once you are quoted on AIM, enhancing trading in your shares and maintaining your company’s profile.

  6. 6

Your first day as a public company is often celebrated by opening trading with a ceremony at the London Stock Exchange. Your shares will then be available for public trading and life on the market begins.

We have a dedicated team to support companies on our markets, and upon admission you will be introduced to Issuer Services. From there, we will help you set up your company’s page on our website, and access the broad range of services and data products we offer.

  7. 7

After the IPO, you must retain a nominated adviser. Your corporate broker will remain an important part of your team. They will continue to work with you on, for example, corporate transactions, capital structure and dividend policy and support you with a wider investor relations (IR) strategy.

In addition, publishing an annual report and disclosing material, price-sensitive information to the market are two key continuing obligations for all companies on London Stock Exchange’s markets.

Nominated advisers

AIM is supported by a community of nominated advisers that are firms authorised by London Stock Exchange.

A nominated adviser will vary in size and will have specialism in particular sectors and/or jurisdictions. They may be an integrated house (where they offer wider services such as broking or accounting) or a boutique firm focusing on corporate finance.

All nominated advisers are corporate finance and AIM specialists. Their critical role to support AIM companies means that all AIM companies must retain a nominated adviser at all times on AIM.

Why nominated advisers matter on AIM

The corporate finance expertise and depth of AIM market experience, of a nominated adviser, provides valuable advisory support to AIM companies when joining and when they are quoted on the market.

Nominated advisers assess a company’s appropriateness for AIM, manage the admission process, and offer ongoing advice about the AIM Rules. They owe these duties solely to the London Stock Exchange.

To start your journey, search for nominated advisers who have experience working with companies in your sector or look for those with a local presence. We hold a comprehensive directory of advisers across a range of services, so contact us for an introduction.

What is the role of a broker?

An AIM company must retain a corporate broker that acts as your interface with the stock market, assessing market conditions, the demand for your company’s shares and actively marketing them to investors. As such the broker role is essential for your success on AIM. The broker is authorised by the Financial Conduct Authority and must be a member firm of the London Stock Exchange.

Other advisers that support companies joining AIM

A reporting accountant reviews your company’s historical financial records and ensures you have appropriate controls and processes in place at admission.

Legal advisers are involved in the legal aspects of the admission process such as supporting the company with verifying the admission document, advising on the company’s constitutional documents, and preparing legal documentation for any fundraising.

You may also want to consider working with a financial public relations firm to assist you in raising your company’s profile among a diverse range of investors.

The AIM ecosystem

What sets AIM apart is its highly connected ecosystem of companies, investors and advisers, who are all focused on supporting and achieving growth.

This environment encourages the sharing of experience, insight and ambition at every stage of growth.
