Is your company ready to float?

There are a number of elements to consider when preparing your company to join the London markets, these include matters such as incorporation, your company’s track record, board of directors and capital structure.

In addition, you are required to meet a number of regulatory requirements. For companies preparing for a listing on the Main Market you need to satisfy the regulatory requirements of the UKLA contained in the Listing Rules as well as the Exchange’s own Admission and Disclosure Standards. When preparing to join AIM you are required to meet the London Stock Exchange’s AIM Rules.

You will also need to persuade investors – in London and around the world – of the qualities of your company and its prospects, so that they will be prepared to buy shares and ensure the success of your flotation. You will need to demonstrate that the business is soundly managed, that you have a robust business plan and that the management has the right skills and commitment.

The advisers you appoint – your sponsor, broker, accountant and lawyer – all play their part in making sure your company satisfies the rules and regulations and meets the market’s expectations.
